1. Overview

Freight Hero provides a digital oversight and automation platform that connects to client systems to monitor shipments, collect documents, and coordinate communications with carriers and drivers (the Services). These Terms of Use (“Terms”) govern your access to and use of the Services. By accessing or using the Services you agree to these Terms.

2. Eligibility and Age Requirement

  • Minimum Age: You must be 18 years or older to use the Services.
  • Representation: If you register or provide contact data for third parties (including carriers or drivers), you represent and warrant that you have the legal right and any required consents to provide that information and to permit Freight Hero to contact those third parties on your behalf.
  • Action on Discovery: If Freight Hero becomes aware that personal information of an individual under 18 was provided without required consent, Freight Hero may suspend access to the affected account and will take reasonable steps to delete the information in accordance with applicable law.

3. Account Access, Integrations, and Data Use

  • Authorization: By using the Services you authorize Freight Hero to connect to your Transportation Management System (TMS) and other authorized systems, and to pull, receive, store, process, and display shipment and related data necessary to provide the Services.
  • Source Responsibility: You are responsible for the accuracy, completeness, and timeliness of all data provided to Freight Hero, including data pulled from your TMS or supplied by third parties. Freight Hero processes and acts on the data you provide; you remain responsible for verifying and acting on critical operational, regulatory, and compliance information.
  • Credentials and Security: You must provide valid credentials and maintain the security of any integration keys, accounts, or access tokens used to connect your systems to Freight Hero. Promptly notify Freight Hero of any suspected unauthorized access.

4. AI Assistant and Automated Communications

  • Functionality: Freight Hero’s AI assistant may initiate and manage automated communications with carriers, drivers, and other third parties to request delivery status updates, documents, confirmations, or other shipment-related information. Communications may be sent via SMS, email, phone, messaging platforms, or other channels supported by the Services.
  • Consent: You must obtain any consents or authorizations required by law to provide contact information and permit Freight Hero’s AI assistant to contact those parties on your behalf.
  • Verification: Responses and documents collected through automated communications are processed and presented within the platform. You are responsible for reviewing and verifying the accuracy, authenticity, and sufficiency of any documents or status updates received via the AI assistant.

5. User Obligations and Acceptable Use

  • Lawful Use: Use the Services only for lawful business purposes and in compliance with applicable laws, regulations, and industry standards.
  • Operational Responsibility: You retain responsibility for shipment execution, carrier selection, compliance with transportation and safety regulations, customs requirements, and any operational decisions based on information surfaced by Freight Hero.
  • Prohibited Conduct: Do not transmit unlawful content, impersonate others, interfere with the Services, attempt to reverse-engineer the platform, or circumvent fees or restrictions.

6. Fees, Billing, and Suspension

  • Fees: Freight Hero may charge subscription, usage, or transaction fees. You authorize Freight Hero and its payment processors to charge the payment method you provide.
  • Nonpayment: Nonpayment may result in suspension or termination of access and collection actions.

7. Privacy, Data Processing, and Security

  • Privacy Policy: Freight Hero’s collection and use of personal information are governed by the Freight Hero Privacy Policy, incorporated into these Terms.
  • Data Processing: Freight Hero processes data to provide the Services, including connecting to your TMS, operating the AI assistant, storing documents, and providing analytics.
  • Security Measures: Freight Hero implements administrative, technical, and physical safeguards designed to protect data. You must follow reasonable security practices for your accounts and integrations. Freight Hero is not responsible for breaches resulting from your failure to secure credentials or from third-party systems you authorize Freight Hero to access.

8. Intellectual Property

  • Ownership: Freight Hero and its licensors retain all rights, title, and interest in and to the Services, software, content, trademarks, and documentation.
  • License: Subject to these Terms and payment of applicable fees, Freight Hero grants you a limited, non-exclusive, non-transferable license to use the Services for your internal business purposes.

9. Disclaimers and No Guarantees

  • As Is: The Services are provided “as is” and “as available.” Freight Hero does not guarantee that automated communications will produce responses, that third-party data will be accurate, or that the Services will be uninterrupted or error free.
  • Verification: You are responsible for verifying any operational, regulatory, or compliance information surfaced by the Services.

10. Limitation of Liability and Remedies

  • Aggregate Cap: To the maximum extent permitted by law, Freight Hero’s aggregate liability for any claim arising from or related to these Terms will not exceed the fees paid by you to Freight Hero for the Services in the twelve (12) months preceding the event giving rise to the claim.
  • Exclusion of Damages: Freight Hero is not liable for indirect, incidental, special, punitive, or consequential damages, including lost profits or business interruption.

11. Indemnification

You agree to indemnify, defend, and hold Freight Hero and its officers, directors, employees, and agents harmless from and against any claims, liabilities, losses, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of: (a) your use of the Services; (b) your data or integrations; (c) communications initiated by Freight Hero on your behalf; or (d) your breach of these Terms.

12. Termination and Suspension

Freight Hero may suspend or terminate access to the Services for violations of these Terms, security concerns, nonpayment, or other lawful reasons. You may terminate your account at any time by ceasing use of the Services and following any account closure procedures provided in the platform.

13. Changes to Terms

Freight Hero may modify these Terms from time to time. Continued use of the Services after changes are posted constitutes acceptance of the updated Terms. Material changes will be posted with a revised effective date.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, United States. Any dispute arising under or in connection with these Terms will be subject to the exclusive jurisdiction of the state and federal courts located in California.
